Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Retenvo Technologies Limited ("Payinto," "we," "us," or "our") governing your use of the Payinto payment automation platform and related services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

Definitions

"Services" refers to the Payinto platform, including payment processing, invoicing, vendor management, and related features.

"User," "you," or "your" refers to any individual or business entity using our services.

"Account" refers to your registered Payinto business account.

"Partner Banks" refers to licensed financial institutions that provide banking services through our platform.

Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Operate a legitimate business or be authorized to act on behalf of one
  • Provide accurate and complete registration information
  • Comply with all applicable laws and regulations

Account Registration and Security

When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Use a strong, unique password
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with others
  • Keep your contact information up to date

Services Description

Payinto provides payment automation services, including but not limited to:

  • Payment processing (bank transfers, card payments)
  • Automated invoicing and billing
  • Vendor and supplier management
  • Bill payment services
  • Payment reconciliation
  • Business analytics and reporting

Important: Payinto is a financial technology company and not a bank. All banking and financial services are provided by our partner banks, which are licensed by the Central Bank of Nigeria (CBN) and insured by the Nigeria Deposit Insurance Corporation (NDIC).

Fees and Payments

Our fees are outlined on our Pricing page. By using our services, you agree to pay all applicable fees. We reserve the right to change our fees with reasonable notice.

Key points about fees:

  • Fees are automatically deducted from transactions
  • All fees are exclusive of applicable taxes
  • Refunds are subject to our refund policy
  • We may suspend services for non-payment

Prohibited Activities

You agree not to:

  • Use our services for any illegal or fraudulent activities
  • Process payments for prohibited goods or services
  • Violate any laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Use our services to transmit malware or harmful code
  • Engage in money laundering or terrorist financing
  • Misrepresent your identity or business

Compliance and Verification

We are required to comply with anti-money laundering (AML) and know-your-customer (KYC) regulations. You agree to provide all requested documentation and information for identity verification purposes. We reserve the right to suspend or terminate accounts that fail to complete verification or comply with regulatory requirements.

Intellectual Property

All content, features, and functionality of the Payinto platform, including but not limited to text, graphics, logos, software, and trademarks, are the exclusive property of Retenvo Technologies Limited and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Limitation of Liability

To the maximum extent permitted by law, Payinto and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from:

  • Your use or inability to use our services
  • Unauthorized access to your account or data
  • Errors, mistakes, or inaccuracies in our services
  • Service interruptions or downtime
  • Actions of third parties, including partner banks

Indemnification

You agree to indemnify, defend, and hold harmless Payinto, Retenvo Technologies Limited, and our affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Termination

We reserve the right to suspend or terminate your account and access to our services at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Failure to complete verification
  • Inactivity for an extended period

You may terminate your account at any time by contacting our support team. Upon termination, you remain liable for all outstanding fees and obligations.

Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through arbitration in accordance with the laws of Nigeria. The arbitration shall take place in Lagos, Nigeria, and the decision shall be final and binding.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
